Terms of Service

These Terms of Service govern your use of UniCloud360's software platform and services, operated by Ceyentra Technologies (Private) Limited. By using the platform, you agree to these terms in full. If you do not agree, you must not use the platform.
1. Platform Access
UniCloud360 grants institutions a non-exclusive, non-transferable licence to access and use the platform during the subscription term, subject to these terms and the executed Order Form. Access is provided on a software-as-a-service basis; no software is licensed for installation on client infrastructure unless explicitly agreed in writing.
2. Data Ownership
All student data, institutional records, and content uploaded to UniCloud360 remain the property of the institution at all times. UniCloud360 processes this data only as a data processor, acting strictly on the institution's instructions. We do not use institutional data for any purpose other than delivering the agreed services.
3. Acceptable Use
The platform must be used only for lawful purposes in connection with legitimate educational institution administration. The following activities are prohibited:
- Reverse engineering, decompiling, or disassembling the platform
- Reselling access to third parties without written authorisation
- Attempting unauthorised access to other accounts or system components
- Using the platform in a manner that could damage, disable, or impair its performance
4. Service Availability
UniCloud360 targets 99.5% monthly uptime for the core platform. Planned maintenance is communicated at least 48 hours in advance and scheduled during low-usage windows. Unplanned outages are addressed in accordance with the SLA defined in the Order Form. Enterprise clients receive priority incident response with defined resolution timeframes.
5. Confidentiality
Each party agrees to maintain in confidence the other's confidential information and to use it only in connection with the performance of these terms. This obligation survives termination of the agreement for a period of five years.
6. Limitation of Liability
To the maximum extent permitted by applicable law, UniCloud360's aggregate liability to the institution for any claims arising under or in connection with these terms shall not exceed the total fees paid by the institution in the twelve months preceding the claim. Neither party shall be liable for indirect, consequential, or incidental damages.
7. Term and Termination
The agreement commences on the date specified in the Order Form and continues for the initial subscription term. Either party may terminate for material breach with 30 days' written notice if the breach is not remedied within that period. Upon termination, UniCloud360 will provide a data export and confirm deletion within 30 days.
8. Governing Law
These terms are governed by the laws of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka, unless otherwise agreed in the Order Form for institutions in other jurisdictions.
